TERMS OF SERVICE
Effective Date: September 2026
These Terms of Service govern participation in and use of the Stonemarcc Advisory Business Acquisition services, website, Client Portal, educational materials, advisory services, and related resources.
By purchasing a service, creating a Client Portal account, or using the services, the client agrees to these Terms of Service.
1. Services
Stonemarcc Advisory provides business acquisition readiness, financial review, acquisition education, business search assistance, financial analysis, financing preparation, and related advisory services based on the specific service purchased by the client.
The exact services provided will depend upon the client’s selected service and applicable engagement terms.
2. No Guarantee of Acquisition or Financing
Stonemarcc Advisory does not guarantee that:
· A suitable business will be identified;
· A seller will accept an offer;
· A transaction will reach closing;
· A client will qualify for financing;
· A lender will approve a loan;
· SBA financing will be available or approved;
· A particular purchase price or valuation will be accepted;
· A business will achieve any particular financial performance after acquisition; or
· A client will complete an acquisition during the service period.
Business acquisitions and financing decisions depend on numerous factors outside Stonemarcc Advisory’s control.
3. Client Responsibility
Clients are responsible for providing complete, accurate, and timely information.
Stonemarcc Advisory may rely upon financial statements, tax returns, business records, seller information, broker materials, and other documents supplied by clients or third parties without independently auditing or verifying that information unless specifically agreed otherwise in writing.
Clients are responsible for independently reviewing and approving all final business, financing, legal, and investment decisions.
4. Educational and Advisory Information
Videos, classes, worksheets, templates, financial examples, webinars, recordings, and other Client Portal materials are provided for educational and advisory purposes.
General materials are not individualized legal, tax, investment, lending, or accounting advice unless Stonemarcc Advisory has specifically agreed to provide such professional services under a separate engagement.
5. Legal Services
Stonemarcc Advisory is not acting as the client’s attorney.
Clients should retain qualified legal counsel for matters including:
· Letters of Intent;
· Purchase agreements;
· Entity formation;
· Contract review;
· Employment matters;
· Licenses;
· Regulatory matters;
· Due diligence;
· Transaction documents; and
· Closing documents.
6. Lenders and Third Parties
Stonemarcc Advisory may assist clients in preparing for financing or communicating with lenders, brokers, sellers, attorneys, accountants, and other transaction professionals.
Any lender, broker, seller, attorney, or other third party is independent from Stonemarcc Advisory unless expressly stated otherwise.
Third-party decisions, services, fees, underwriting requirements, timelines, and performance are outside Stonemarcc Advisory’s control.
7. Business Listings and Acquisition Opportunities
Stonemarcc Advisory may identify, review, discuss, or assist with businesses offered for sale.
The inclusion or discussion of a business opportunity does not constitute a representation or guarantee concerning the accuracy of the seller’s information, value of the business, future profitability, suitability of the investment, or likelihood of completing the transaction.
Clients must perform appropriate due diligence before acquiring any business.
8. Client Portal
Each Client Portal account is intended for the authorized client only.
Clients are responsible for maintaining the confidentiality of their login credentials.
Clients may not provide unauthorized persons with access to Stonemarcc materials, recordings, templates, financial analyses, or other restricted Client Portal content.
9. Intellectual Property
Stonemarcc Advisory’s proprietary materials, including videos, recordings, worksheets, templates, guides, presentations, processes, and other Client Portal content, are provided for the client’s personal business-acquisition use.
Unless written permission is provided by Stonemarcc Advisory, clients may not:
· Reproduce the materials for commercial purposes;
· Resell the materials;
· Publish the materials;
· Distribute the materials to third parties;
· Share Client Portal access;
· Record or redistribute classes or meetings; or
· Represent Stonemarcc materials as their own.
10. Confidential Information
Stonemarcc Advisory will use reasonable measures to protect confidential client information.
Clients acknowledge that business acquisitions may require information to be shared with lenders, attorneys, brokers, sellers, accountants, and other transaction professionals when necessary to perform requested services or advance a transaction.
11. Fees and Payments
Fees are based upon the service selected by the client.
Payment obligations, installment arrangements, additional services, transaction-related fees, and other charges will be governed by the applicable service agreement, engagement letter, invoice, or checkout terms.
Failure to make required payments may result in suspension of Client Portal access and services.
12. Refunds and Cancellations
Unless otherwise stated in the applicable engagement agreement or required by law, fees paid for services already performed, professional review work completed, digital materials accessed, or advisory services provided are non-refundable.
Any specific cancellation or refund provisions contained in a signed engagement agreement will control over this general provision.
13. Additional Professional Services
Services outside the scope of the client’s purchased program may require a separate engagement and additional fees.
Examples may include:
· Detailed business valuation;
· Tax advisory services;
· Quality-of-earnings analysis;
· Extensive financial modeling;
· Transaction due diligence;
· Entity or transaction structuring;
· Post-acquisition accounting or advisory services; and
· Other professional services outside the purchased program.
Stonemarcc will communicate additional service requirements where applicable.
14. No Investment Guarantee
The acquisition of a business involves financial and operational risk.
Past business performance does not guarantee future results.
The client remains solely responsible for the decision to purchase, finance, operate, or invest in any business.
15. Electronic Communications
Clients consent to receiving service-related communications electronically, including through email, the Client Portal, electronic forms, Zoom/video conferencing, and other electronic systems used to provide the services.
16. Modification of Portal Content
Stonemarcc Advisory may update classes, resources, forms, schedules, portal features, educational materials, and administrative procedures as necessary to improve or administer the services.
17. Acceptance
The website should require the client to affirmatively accept these Terms of Service during registration or checkout.
